American help wanted - to INC or LLC?

I live outside the usa, but i am thinking of registering a company there. it seems after much research that delaware is the state of choice, but i cannot understand which is more appropiate - an LLC or INC?

An LLC is only good if there are multiple veture capatilists involved. Do you have another person who will be running the company with you? If so, the LLC would protect both parties from foul play by the other.

thanks jon, i just want to register the company as dormant for now, but do people register both LLC and INC to protect their company name?
