You need to ask lawyers, not programmers. Incorporating is a costly task. There are taxes, filing fees, etc. It all depends on your country, and in the US, different states have different laws governing taxes, disclosures, charters, etc.

This is not the place to ask this question.

If it is such a small company wouldn't you be better off just registering as a sole proprietorship anyways? Why are you wanting to become incorporated?

You might want to consider forming a LLC (limited liability company). Here (http://www.sitepoint.com/forums/showthread.php?t=342431&highlight=limited+liability+company) is a rather interesting thread on the subject from another forum, which may be of some help to you.

If you want to register offshore for tax benefits do so in British Virgin Islands, run a check on google, i think it is about $750 for initial set up and ten a minimal amount every year, but the benfits are the taxes.
