I seem to recall that when you boot into safe mode it takes you to a login screen with the true administrators (not to be confused with Owner) account listed which by default doesn't have a password set. To get into safe mode hit the F8 key while it is booting up.

Did you set a password hint question when the password was created?

googled it?
I searched google with your thread title, it gave me this page (http://www.petri.co.il/forgot_administrator_password.htm) on the first result page. A few free tools to reset the password

thanx for all the replies..... I tried several ways but of no use as everything was "Sccess denied"!!!!
Anyway i have taken care of it!!! I format the system and installed as a new one :D though it took me a lot of time!!!
This is how i installed Windows XP -- I format my C drive and installed Windows Me and after the installation, I open the XP CD from the Windows Me plateform and installed it!!! It took me a lot of time!! is there any other way where one can install XP !!!as it takes too much of time

Have you tried installing WinXP without first installing WinME? If your WinXP is only an upgrade edition then I believe there are more than one way to prove that you are eligible for the upgrade. Obviously having WinME installed would be one way but I think you might just be able to only have to insert the WinME CD during the installation of WinXP to prove the eligibility and not actually have to install it.

Actually when tried to install XP from the DOS mode after formatting my hard-disk, i got an error saying the setup.exe file can't run in the DOS mode!!! Which makes me unable to install in the DOS environment...
My XP CD has both the options for upgrade as well as full ...how do u install XP?? Did u install from the DOS mode or the Windows????
You can install XP directly by just booting from the CD. no need to boot into dos to run the setup.

Yes. It will give you a few options to format the drive if you want to before it starts installing.
