i would like to do this but have no idea where to start, i want it so an admin would have to log in and gets a HTML editor to edit the pages

Ive tried the PHP include, but i dislike my fellow co owners logging into the cpanel as their under experienced and have no interest in learning.

i would not like to use an already made cms as its nice to say thats your own, without a copyright in the admin panel or whatever saying copyright 2009 company name

i hope you understand what i mean and are able to help me!

A fully-featured CMS would take a long while to complete. You'd have to think of several things, like how you're going to keep passwords safe, what your login mechanism will be, how you're going to store content and whether you're going to use a templating engine, what WYSIWYG editor you're going to use for the client, and so on. There are CMSs which you are allowed to brand and not attribute to the creator out there, but I couldn't tell you them off the top of my head.
