We are not here to 'solve you're problem'.
The GD (http://ca3.php.net/manual/en/ref.image.php) library contains several methods for rotations, creations and transparencies. Transparency can be kept with truecolor images that are created or copied, and any unrecoverable sectors can should be colorable with imagecolortransparent. Perform all the necessary alterations on the original jpg image before replacing colors for transparency to save as a png.

You are mistaken; I can solve this problem. What I mean is you're in the wrong forum if you're looking for someone to do the work for you. This: http://codingforums.com/forumdisplay.php?f=47 is the listing for our available paid project listings.

I listed the links to the GD library for PHP as well as some of the functions you will be using to create / alter you're images, and Nightfire posted a link to a short tutorial of how to resize and convert a png to a gif - the concepts are pretty much the same for a jpg to a png.
